These Marketing Program Terms outline the rules and guidelines for using eBay’s marketing services,
which are designed to help you promote your products both within and outside of eBay.

If there is a conflict between these Marketing Program Terms and eBay’s User Agreement, these Marketing Program Terms will take precedence.
1. Marketing Services
eBay’s Marketing Services offer a range of tools, both self-service and fully managed,
through which you can request to promote your eBay listings or other content by paying a fee to eBay.
These services are described in detail in these Marketing Program Terms and through the Marketing Services themselves.
When you use our Marketing Services, you grant eBay (and its partners when applicable) the authority to use automated tools to create
And format advertisements (Ads) based on your Content (as defined below).
We reserve the right to limit the number of Ads you can create and the availability of Marketing Services at our sole discretion.
In certain situations, third parties such as brands may also participate in eBay advertising programs that promote the same eBay listings as your Ads.
In such cases, you are responsible for the Marketing Fees you incur, even if these third parties receive performance information related to their promotion of your listings.
By using the ebay Marketing Services, you authorize eBay to display your Ads on any content or property provided by eBay or a third party (referred to as a “Property”).
We may offer features or services that help optimize your use of the Marketing Services,
such as campaign creation and modification, ad rate and budget adjustments, and targeting parameters.
If you choose to use these features or services, you understand that we may manage your campaigns
and take actions on your behalf without your prior consent, as described by us in writing or through the Marketing Services.
You are responsible for keeping your account credentials secure and not sharing access with unauthorized individuals.
You are solely responsible for all activities associated with your Marketing Services account, including changes made to your campaigns, whether or not authorized by you.
It is your responsibility to monitor your account and ensure that your campaigns align with your business objectives.
2. Content
Your listings will be promoted through Ads, which may include text, graphics, listing titles, descriptions, and other features provided by eBay.
You will provide eBay with text, logos, images, URLs, and other content (collectively, “Content”) for these Ads, which may be derived from your eBay listings.
You must ensure that the Content, Ads, and any content or websites linked to by the Ads comply with eBay’s policies, trademark policies, prohibited items policies,
editorial guidelines, creative specifications, as well as all applicable third-party rights, laws, rules, and regulations.
You are solely responsible for any Ad or Content provided to eBay by you or on your behalf.
By providing us with Content, you grant eBay a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (including through eBay’s affiliates,
subsidiaries, and Partners), transferable right and license to use, reformat, reproduce, and display your Ad and Content on eBay Properties and exercise any copyright,
trademark, publicity, and database rights in the Content for the purpose of providing, expanding, and promoting our Marketing Services, in any current or future media.
eBay reserves the right to decline, delay, or remove any Ad or Content at its sole discretion, with or without reason, without incurring any liability to you.
You are still responsible for compliance with applicable laws, regulations, and third-party rights.
Your participation in the Marketing Services may impact the display, ranking, or placement of your listings, and Ads may appear instead of your listings and vice versa.
eBay may label Ads as “promoted,” “sponsored,” “ad,” or with a similar designation.
You may not use the eBay name or logo in your Content or Ad without eBay’s prior written approval.
3. Fees
You agree to pay the applicable Marketing Fees based on your account settings and as described in these Marketing Program Terms and through the Marketing Services.
eBay may introduce charges for specific features or tools of the Marketing Services with notice to you through the Marketing Services’ user interface.
Marketing Fees are calculated using eBay’s measurements and standard methodologies, subject to minimum and maximum rates specified by eBay.
We reserve the right to modify the Marketing Fees, including the calculation methods, at our discretion.
Any disputes regarding Marketing Fees must be submitted in writing within sixty days of the charge date;
otherwise, you waive the right to dispute and the charge becomes final.
Marketing Fees do not include applicable taxes, which sellers are responsible for paying in accordance with applicable laws and the User Agreement.
eBay may collect Marketing Fees and taxes using the methods specified in the User Agreement or your payment agreement with us.
You will reimburse eBay for reasonable expenses and attorney’s fees incurred in collecting past-due amounts.
You acknowledge the risk of third parties generating improper impressions or clicks on your Ads.
4. Pricing Models
Depending on your choice, you may participate in the Marketing Services on a cost-per-click or cost-per-sale basis.
Cost per Click Pricing:
You agree to pay an amount up to the ad rate specified in your account settings for each click on your Ad.
Cost per Sale Pricing:
You agree to pay an ad rate based on the total sale amount for each Attributed Sale (as defined below).
The total sale amount includes the item price, handling charges, shipping costs, taxes, and other applicable fees.
An “Attributed Sale” occurs when an end user (an “End User”) clicks on your Cost per Sale Ad
And purchases any of your promoted Cost per Sale items within thirty calendar days of that click (the “Attribution Window”).
In the case of multi-quantity listings, each item purchased from the same listing within the Attribution Window counts as a separate Attributed Sale,
incurring its own fee. eBay determines whether a sale constitutes an Attributed Sale.
Even if you end a campaign, you are still responsible for Marketing Fees for Attributed Sales
if the End User clicks on your Ad before you end the campaign and makes the purchase after the campaign ends.
With regard to Cost per Click Pricing and Cost per Sale Pricing, the Marketing Fee is calculated based on the rate in effect for the Ad at the time of the click,
except for Halo Items. Halo Items have their own rate in effect at the time of sale.
5. Subscriptions
Some Marketing Services may be offered on a subscription basis with auto-renewing payments (“Subscription Services”).
The billing period and pricing for each Subscription Service will be specified through the Marketing Services at registration.
You acknowledge that we are authorized to charge you on a recurring basis for the Subscription Services at the current rates until you cancel or we suspend access.
There are no refunds or credits for partially used Subscription Service periods.
6. Other Pricing Features
Marketing Fees for additional Marketing Services will be specified in writing or through the Marketing Services.
If you participate in multiple Marketing Services concurrently, Marketing Fees will apply to each service as described in the Marketing Services.
7. Intellectual Property
If you believe your copyright-protected content has been infringed through the Marketing Services,
please notify us through our Verified Rights Owner (VeRO) Program, and we will investigate your claim.
8. Confidentiality
You agree to keep confidential any information obtained from eBay related to the Marketing Services, identified as confidential or reasonably
considered as such (such as non-public information about our technology, marketplace, inventory availability, targeting, and pricing data).
You will use such Confidential Information only in connection with your participation in the Marketing Services.
9. Representations and Warranties
You represent and warrant to eBay that your Ads, Content, linked material, and supplied goods
and services comply with all applicable laws, do not infringe third-party rights (including intellectual property rights, publicity rights, or privacy rights), are truthful,
accurate, up-to-date, non-misleading, non-deceptive, and do not involve any misrepresentation.
Your Ads and Content must not imply or represent approval or sponsorship by a party that does not exist.
You further represent and warrant that you have the authority to publish your Ads and Content, offer valid and redeemable promotions, maintain adequate inventory,
obtain necessary rights and licenses, grant eBay the license rights specified in these Marketing Program Terms,
refrain from generating fraudulent or invalid interactions, avoid delivering malware, and not interfere with the Marketing Services.
10. Disclaimer of Warranties
eBay disclaims all guarantees regarding sales, click-through rates, ad impressions, user actions, conversion rates, data accuracy, targeting, reporting, adjacency, ranking,
placement of Ads, campaign duration, relevancy of search keywords, and any recommendations or guidance provided with the Marketing Services.
eBay does not represent or guarantee revenue, campaign performance, anticipated benefits, suitability of the Marketing Services for your purposes,
or simultaneous access to all Marketing Services features. eBay is not liable for any damages or losses resulting from your use of the Marketing Services,
including Ad deletions or modifications, Ad display, or the termination or removal of your Ads.
However, if eBay is found liable, our liability is limited to the greater of the disputed Marketing Fees or $100 USD.
11. Indemnity
You will indemnify and hold eBay (including affiliates, subsidiaries, Partners, and their officers, directors, employees, and agents) harmless from any claims or
demands, including legal fees, arising from your Content, Ads, breach of these Marketing Program Terms,
improper use of the Marketing Services, or violations of laws or third-party rights.
Partners are intended third-party beneficiaries to the extent permitted by applicable law.
12. Contractors
You are solely responsible for the actions of Contractors acting on your behalf in connection with these Marketing Program Terms.
Contractors may receive advertising performance information related to their activities.
You must ensure that your Contractors comply with all applicable restrictions and third-party rights, laws, rules, and regulations.
13. General
eBay reserves the right to suspend, terminate, restrict, or reactivate your use of the Marketing Services without notice and without liability, at its sole discretion.
The reactivation of campaigns after suspension or termination is at eBay’s discretion. eBay may also modify, suspend, or discontinue parts or all of the Marketing Services.
If any provision of these Marketing Program Terms is deemed invalid or unenforceable,
that provision will be removed, and the remaining provisions will remain in effect.
Headings are for reference only and do not limit section scope. eBay’s failure to act on a breach does not waive the right to act on subsequent breaches.
We may amend these Marketing Program Terms by posting the changes on eBay’s website.
Material changes will be notified to you thirty days in advance through the Marketing Services or email.
Non-material changes take effect upon posting, unless specified otherwise.
Your continued use of the Marketing Services constitutes acceptance of the amended terms.
